KarateAngels.com will never sell, loan, lease or knowingly in any manner give information regardless of it’s source regarding our Clubhouse Members or our Visitors, to any outside third party for any purpose. Information is collected for security matters and to assist us to contact parents for verifications of Clubhouse Memberships and contest winners. It helps with the sites editorial direction and to create the best content we possibly can. Any personally identifying information collected by www.KarateAngels.com will be used only by www.KarateAngels.com.
   (a) We do not ask registered guests or Clubhouse Members for a real screen name. When visitors are entering contests they are invited to create a fictitious screen name and to provide their age, e-mail address, gender, country or state. When entering contests a telephone number is necessary to contact winners, but not required. All winners are contacted by e-mail and by telephone if provided.

   Clubhouse Memberships and KarateAngels.com products have a 14-day money back guarantee, does not include shipping. After which time we will give you credit towards any purchase at KarateAngels.com Online Stores.  
   

10. Guests who enter KarateAngels.com
    Guests are welcome to use certain special technology. Such as enter some of our contests and use of our message boards, chat rooms and receive our e-mail newsletter via e-mail.
    

11. OFFICIAL CONTEST RULES
    Here are some general rules and guidelines with respect to each and every contest listed in the contest areas within this website.
    (a) No one can enter a contest, purchase products, become a Clubhouse Member or register as a guest without Parental consent or a Legal Guardian.
    (b) Only one entry per person per contest.
    (c) Rules and guidelines will vary. Some restrictions may apply.
    (d) Guests, who register, enter a contest and win, are first restricted to winning a free one year Clubhouse Membership and full benefits.
    (e) Only current Clubhouse Members are eligible win Grand Prizes.
    (f) All winners will be contacted by e-mail.
    (g) To claim your winning prize, simply follow the easy instructions in your e-mail notification.
    (i) If we do not hear from you within 7 days of notification, we’ll select an alternate winner.
    (j) Read all the rules, entry requirements and deadlines of each contest before entering.
    (k) The respective contest sponsor reserves sole and final judgment as to all matters concerning its contests.
    (l) The type of prizes awarded is at the discretion of the contest sponsor.
    (m) Winners are responsible for all Federal, State and Local taxes, if applicable.
    (n) Void where prohibited and where all Federal, State and local laws and regulations apply.
    (o) Prizes cannot be exchanged, substituted or transferred, without the prior written consent of the contest sponsor.
    (p) Odds of winning a prize depends on the number of eligible entries received and are determined by each contest’s specific criteria of awarding prizes.
    (q) If you are a contest winner you also authorize A.D. Productions, and its affiliates an the respective contest sponsor to use your name (including screen name), including photographs, illustrations or likeness and hometown for promotion purposes and publicity purposes without compensation.

    (s) Any artwork, text or any other materials of any kind you send to KarateAngels.com becomes the property of A. D. Productions. By submitting your artwork, text or other material to us, you give us the right to publicly release, display, transmit, distribute, copy and exhibit your work as our property.
    (t) Only kids 17 years of age and under can enter or become eligible to win any of the prizes with respect to any contests or make any submissions of any kind to KarateAngels.com.
    (u) Contests are not valid outside the U.S. and Canada.
    (v) A. D. Productions is not responsible for error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of your entry.
    (w) You agree that A. D. Productions, its subsidiaries, divisions, related companies, advertising and promotion agencies, and respective contest sponsors and employees of each shall have no Liability, in connection with the acceptance and use of prizes awarded, including liability for personal injury and property damage.
    (x) All winners are posted, and archived here at KarateAngels.com for all to view.
    

12. Agreement for Submissions of Certain Works
    I (the “Author”) do unconditionally without any compensation, grant, convey, assign and transfer to A.D. Productions (“ASSIGNEE”) all my right, title, interest in, including the copyright, worldwide and submissions of certain Works of art, illustrations, text, stories, dialogs, verses, or photographs, negatives, transparencies, prints, and all other physical properties (hereinafter referred to as “WORKS”), created by me and submitted by U.S. mail or electronically to c/o www.KarateAngels.com including modifications and revisions, based on the Works or any of the part of the Works (Derivative Works”), including but not by way of limitation:  
    (a) The right to reproduce the Works in copies;
    (b) The right to prepare derivative works, including modifications and revisions, based on the Work or any part of the Work (“Derivative Works”);
    (c) The right to distribute copies of the Works to the public by sale or other transfer.
    (d) The right to display the Works and Derivative Works publicly;
    (e) The right to use, produce, copy, transmit, display and exploit Derivative Works, or cause the same to be produced, copied, transmitted, displayed and exploited by any means or devices known now or in the future;
    (f) The right to use the Works, in whole or in part, to arrange and change the Works, and add to or subtract from the Works;
    (g) The right to incorporate the Works in a collection of Works or compilation;
    (h) The right to use the Works in connection with any Derivative Works, or in conjunction with other material not based on the Works, and the right to use the Works with a different title;
    (i) The right to register the copyright in the Works and in any Derivative Works anywhere in the world in Assignee’s name for Assignee’s sole benefit and to secure renewals or extensions of such copyrights in Assignee’s name.
    (j) The exclusive right to use the Works as a trademark for any product or service;
    (k) The right to any moneys now or hereafter due or which may be due AUTHOR based on the Works;
    (l) The right to sell, license or otherwise dispose of any of the rights in the Works and to retain the entire proceeds hereof for Assignee’s exclusive benefit; and
    (m) All rights in and to the Works of art, illustrations, text, stories, dialogs, verses, or photographs, negatives, transparencies, prints, and all other physical properties of the Works.
    

13. Author's Promises
    To induce the Assignee to accept the “Works.” I represent and warrant as to the Works that:
    (a) I am the sole Author and exclusive owner of my Work and that the Work is not copied or plagiarized from any work of another person in preparing my Work.
    (b) The Work is original and does not or will not infringe upon any statutory copyright or common law copyright, proprietary right or any other right whatsoever:
    (c) I will never submit duplicate copies of my Works to anyone else other than KarateAngels.com.
    (d) The Works have not been published or used for any purpose before the date of my Works to KarateAngels.com.
    (e) I have full power and authority to make this assignment.
    (f) The Work contains no matter that is scandalous, libelous, obscene or otherwise contrary to law:
    (g) I am the sole and exclusive owner of the work; I have not assigned, pledged or encumbered the work; I have granted no license and made no commitments with respect to the Work; and I have full power and authority to make this assignment.
    

14. Lawsuits
    I irrevocably appoint Assignee as my agents to prosecute for Assignee’s sole benefit such proceedings as Assignee may deem necessary or expedient to protect the rights granted in this document. Assignee may sue in its own name or in my name. Assignee at its option may join me as a party plaintiff or defendant in any such suit.
    

15. Indemnification
    If the representations and warranties of Paragraph 2 are false, I shall be fully responsible for and shall indemnify, release, defend, and reimburse Assignee, and hold Assignee harmless from and against any and all demands, claims, liability, damages, losses, settlements and expenses, including attorneys’ fees, regardless of the theory, facts or allegations on which they are based and including, without limitation, those based on the theories of contract, tort, strict or statutory liability, products liability, or negligence of AUTHOR which may arise from the false representation and warranties.
